TERMS OF SERVICE

1. PREAMBLE :

1.1) AXIS MEDIAS manages the OFFERWALL ZENITH WALL which allows our publishers to make their sites profitable by distributing our advertisers' offers through an offerwall.

AXIS MEDIAS operates a range of affiliate program management services for the distribution of advertising campaigns.

1.2) The programs are based on a platform available on the Internet at the address: https://www.zenithwall.com. ZENITH WALL has, on the one hand, a network of advertisers and, on the other hand, a network of publisher sites which ensure the distribution of the programs of its advertisers.

1.3) The Platform is a site with a tool designed by AXIS MEDIAS, allowing the affiliate to set up, monitor and manage the offerwall and the advertising campaigns offered.

1.4) Affiliate programs are defined by advertisers and posted on the ZENITH WALL platform managed by AXIS MEDIAS.

1.5) These general terms and conditions set out the terms and conditions under which advertising campaigns will be set up on the affiliate's site(s).

1.6) By subscribing to the ZENITH WALL program you agree to have read and understood the terms of use. You cannot be registered or participate in the ZENITH WALL program without having previously accepted all of the general conditions of use.

2. OBJECT :

2.1) Object of the contract:

This contract is concluded for an indefinite period and is intended to set and define the conditions allowing advertisers to advertise and publishers to make one or more websites profitable.

It may be terminated at any time by either party without notice.

2.2) Conditions for opening an account:

To become a publisher or advertiser on our platform, publishers and advertisers must register using the form provided for this purpose and accept this contract by checking the box provided for this purpose.

2.3) Conditions to be met to open an 'Advertisers/Agencies' account:

Any natural person, provided they are of legal age, or French or foreign legal entity can register on the site https://www.zenithwall.com provided they have a website that complies with all the rules of laws applicable in France and in particular public order and good morals.

In the same way, the advertiser guarantees that the hypertext and visual links contained in its site do not refer to sites whose object or content would be illicit or immoral.

In this respect, it is expressly reminded that the advertiser is solely responsible for the content of his site and the links it contains.

2.4) Requirements to open a 'Publisher' account:

2.5) Acceptance of applications:

However, we reserve the right to reject an entry from a publisher or one of its sites without having to give an explanation. In this case, an email will be sent to the publisher to inform them of this decision.

3. USE :

3.1) Use of our services:

The information and services contained on the site https://www.zenithwall.com are provided for information only and may be modified at any time. In this specific case, you will be kept informed of any changes by the site's newsletter.

3.2) We reserve the right to modify the use of its tool in order to improve the performance of the site.

3.3) We cannot give a full guarantee that the information on the services is correct, complete or error-free. However, we make every effort to ensure that the information is accurate.

3.4) We cannot be held responsible for any indirect, accidental or harmful consequences that may arise from the use of the site.

3.5) You hereby agree:

- Not to seek compensation or take action that could harm our company, its owners, officers, employees or partners with the aim of causing losses, debts, damages, costs and this, whatever their nature.

- You will not make any claim against us for infringement of your trademark rights given that you have agreed to our terms.

3.6) Prohibition:

We strictly prohibit the use of automatic programs or any other methods intended to increase the number of visitors to your pages and to broadcast on sites that do not comply with the French legislation in force.

3.7) Deletion:

We reserve the right to suspend or terminate your access to the Services at any time, for any reason which may, in our sole judgment, be in violation of French law or which may against us, our interests, those of its users or those of its partners.

3.8) Registration:

To register for our program, you must complete the registration form, ensuring that you have provided accurate information. A confirmation email will be sent to you to validate your account.

3.9) Integration of the OFFERWALL:

- OFFFERWALL Tags must be integrated only on sites accepted by our services.

- No modification of the scripts/codes made available to you is authorized.

- ZENITH WALL reserves the right to revise the remuneration for a campaign. We will be required to notify publishers by email

3.10) Balance Transfer:

This module is suitable for publishers who want to advertise on our platform network using their publisher balance.

The transfer can be Publisher => Advertiser, but the reverse is impossible and this in order to avoid any abuse.

4. PUBLISHERS :

We offer publishers different types of compensation:

- Per 1000 Incentive Clicks (CPCI): Cost per incentive click made by the visitor

- Per 1000 MultiClicks Incentive (MULTICPCI): Cost per incentive MultiClick made by the visitor on an Advertiser's banner or hypertext link. The MULTICLICK corresponds to a double click or a click on the advertiser's link + a click on an internal link to the advertiser's site. The campaign may require several internal clicks, the remuneration will then be higher and based on the number of clicks requested

- Aux 1000 Videos Incentive (CPVI): Cost per video incentive made by the visitor.

The publisher acknowledges the reliability of our tool, which will prevail in the event of a dispute, for counting clicks, multi-clicks, videos, giving rise to invoicing.

The publisher will be able to follow the progress of the advertising campaigns implemented on its site and get a precise idea, at any time, of the sums earned thanks to the real-time statistics offered on our website.

We reserve the right to modify our tool at any time.

The publisher may request a payment at any time if its balance is greater than or equal to 5 euros by paypal and 15 € by bank transfer.

He will then have to choose the method of payment (Paypal or bank transfer).

Be careful to check your bank details. We cannot be held responsible if payment is delayed or worse, sent to a third party.

Payment of sums due to the publisher will be made automatically on the 1st of each month

In the event that the balance due to the affiliate does not exceed 5 euros excluding tax, its payment will be postponed to the following month.

In case of account closure, whatever the cause, no gain can be donated to the publisher.

The publisher declares and guarantees that it has carried out, or possibly will carry out, at its own expense and under its sole responsibility, all the administrative procedures concerning it (URSSAF, tax services, etc.), and necessary for their participation in our program

In the event of an advertiser's failure to pay, we reserve the right to remove or defer earned earnings from the publisher.

In the event that the statistics were different between the publisher and our platform, we reserve the right to regulate them after mutual verification of the data.

5. ADVERTISERS :

Each Advertiser subscribing to our program will be able to credit their account.

In this case, three deposit methods are available to you:

- By Paypal

- By bank transfer (RIB) (contact us in this specific case)

- Either by check payable to:

Please specify that you wish to credit your advertiser account

(The amount will be credited to your 'Advertiser' account once it has been received and cashed)

A minimum deposit of €30 is required to be able to advertise on our network

The advertiser can then create his and/or his advertising campaign(s), but it must be validated by a member of our team.

All sums credited to an advertiser's account cannot be recovered and no refunds can be made.

Therefore, they will have to be used on our network and otherwise, these sums will be permanently lost.

A 30% margin will be deducted on each advertiser's campaign. It will cover the operating costs of our service.

6. FRAUDS :

We are committed to advertisers to fight against all forms of fraud.

The following are considered fraudulent:

- Clicks caused by external artifacts

- the use of programs, scripts or any other process generating automatic clicks on the URL of an Advertiser

In all registration campaigns, will be considered fraudulent:

- Registrations with incorrect information

- Subscriptions coming from the same IP/email address etc.

All clicks and registrations from a site other than the one entered by the publisher in his account will also be considered fraudulent

We have computer and statistical tools allowing it to look for any inconsistencies on the various publisher sites and to detect fraud

We reserve the right to close the account of the fraudulent publisher, the sums remaining due will then be deemed acquired by our company in compensation for the damage suffered as a result of the fraudulent activity. We will then recredit the account of the advertisers who are victims of this fraud.

We are committed to publishers to fight against all forms of fraud.

The following are considered fraudulent:

- The distribution of fraudulent advertisements and therefore non-compliant with French legislation and good morals

- The distribution of multi-click ads by preventing any possibility of generating the requested clicks. In this specific case, a warning will be indicated to the advertiser and in the event of a recurrence, the balance of the advertiser will be deemed acquired by our company in compensation for the damage suffered. The publishers will then obtain compensation for the fraud suffered.

- The distribution of click-incentive ads that breaks the iframe and therefore prevents the publisher from receiving compensation. In this specific case, it is important to point out that we have another offer which makes it possible to solve this problem. The advertiser will be required to distribute his offer on our CLIC INCENTIVE POP service. A warning will be indicated to the advertiser and in the event of a recurrence, the balance of the advertiser will be deemed to have been acquired by our company in compensation for the damage suffered. The publishers will then obtain compensation for the fraud suffered.

- Any ad serving that prevents the publisher from receiving promised revenue

7. PRIVACY :

All personal information entered on our platform is strictly confidential and will never be transmitted for commercial purposes. However, we inform the publisher and/or the Advertiser that it will communicate to the competent authorities all data required by a judicial authority.

8. DISPUTES :

In case of difficulties or problems with the use of our services, mediation will be offered to you. In the event of failure of mediation, all disputes relating to the present will be the exclusive jurisdiction of the courts of Nîmes (France).

9. CHANGES :

The general conditions of use of AXIS MEDIAS are subject to change without notice. They will then be submitted by email so that you can read them.

We remind you that, in accordance with the provisions of the amended Data Protection Act of January 6, 1978, you have the right to access, modify, rectify and delete personal data concerning you by contacting :
